At Nantwich Museum we are looking for a secretary to the Museum's Board of Management. This volunteer role is ideal for someone looking to utilise their organisational skills and someone who ideally has an interest in supporting local history and heritage. Nantwich Museum first opened in 1980 and is an independent charity, which is also set up as a limited company. The Board of Management comprises of elected representatives from the Museum's members, as well as representatives from other local organisations. The Museum is a vibrant hub of activity and is about to embark on a redevelopment project of our Main Gallery. The role is temporary in the first instance but has the potential to become long-term.


NANTWICH MUSEUM: COMPANY SECRETARY ROLE DESCRIPTION  (TEMPORARY) February 2020


 


ROLE TASKS: Company Secretary , Nantwich Museum TRUST Ltd.


 


The Secretary to the Trust is appointed by the Board of the Trust, subject to Section 21 ( 5) of the Companies Act 1976


 


ROLE TASKS:


 



  1. Preparation of Agendas for Board meetings & Development Meetings.

  2. Taking of minutes Board meetings & Development Meetings.

  3. Circulating any relevant papers ahead of the above meetings.

  4. Undertaking appropriate correspondence at request of Chair of the Board of Management and the Board itself.

  5. Ensuring that the Trust complies with Companies House and Charity Commission requirements including -


       i Registering Trustees with both organisations


       ii Ensuring annual accounts of the Trust are submitted as     


       legally required.


       iii Sending in required annual returns



  1. Liaising with Membership Secretary in creation of papers for the Annual General Meeting of the Trust.

  2. Organising and overseeing the election of Trustees.

  3. Gift Aid  - submitting claims to HMRC for Gift Aid in liaison with the Membership Secretary

  4. Authorised person for HMRC purposes.


 


The Secretary should be prepared to advise the Chair and the Board on any matters relevant to the Constitution of the Trust  and the Trustees and any legal issues relevant to the Trust.


 


There are  -


5 Development Committee meetings per year


5 Board meetings per year


 


1 Annual General Meeting per year.
